1. About These Terms

These terms set out how you may use EL HOMAM LLC's website and services. By accessing or engaging with us, you agree to follow them.

2. Services

We deliver business automation, AI integration, and related consulting services as defined in individual statements of work, proposals, or service packages.

3. Your Responsibilities

  • Share accurate information and respond with timely feedback
  • Grant the access and approvals needed for us to deliver services
  • Ensure you have the necessary rights to any materials or data you supply
  • Pay invoices by the due dates shown
  • Use our services in accordance with applicable laws and our guidance

4. Our Responsibilities

  • Deliver services with reasonable skill, care, and diligence
  • Maintain the confidentiality of your business information
  • Provide the support and maintenance outlined in your agreement
  • Work toward agreed timelines where reasonably possible

5. Payment Terms

  • Monthly packages: Billed in advance by ACH, card, or agreed payment method
  • Project work: Typically invoiced 50% up front with the balance on agreed milestones or completion
  • Invoices are due within 14 days of issue unless otherwise stated
  • Late payments may accrue interest and collection costs
  • Prices exclude applicable taxes unless clearly stated

6. Intellectual Property

  • You retain ownership of your existing intellectual property and data
  • We retain ownership of our methodologies, tools, and pre-existing IP
  • You own project deliverables created specifically for you once invoices are paid in full
  • We may reference the engagement in portfolio materials without disclosing confidential details, unless you instruct otherwise

7. Confidentiality

Both parties agree to keep confidential information private and use it solely for the purposes of the project.

8. Limitations

  • Our services are provided “as is” and we do not guarantee specific business outcomes
  • We are not responsible for third-party platform changes, outages, or limitations
  • Our total liability is limited to fees you paid in the 12 months preceding any claim
  • We are not liable for indirect, incidental, or consequential losses

9. Termination

Either party may terminate the agreement with 30 days’ written notice. You remain responsible for paying for services delivered up to the termination date.

10. Changes to Terms

We may update these terms from time to time. Continuing to use our services after changes take effect means you accept the updated terms.

11. Governing Law

These terms are governed by the laws of the State of New Mexico, United States, and disputes will be handled in the state or federal courts located in New Mexico.
